Mission

As a mid-level lawyer at Smartcat, your mission is to support the legal function by providing expert guidance and assistance on a wide range of legal matters. You will work closely with the Head of Legal and other team members to ensure legal compliance and mitigate risks associated with our company's operations. Your responsibilities will include conducting legal research, drafting and reviewing contracts, agreements, and policies, and assisting in the resolution of legal disputes. You will also collaborate with various departments to address legal issues related to corporate, commercial, financial, and compliance activities, intellectual property, and data security. By applying your legal expertise and contributing to the development of efficient legal processes, you will help enable the company's growth and success while safeguarding its interests.

Responsibilities

  • Draft, review, revise, negotiate, and manage the entire lifecycle of a wide variety of commercial agreements, primarily SaaS MSA and other technology licensing agreements, terms of service, vendor, consulting, and non-disclosure under US, English, and CIS laws
  • Provide legal support on privacy and data security matters, including reviewing and negotiating data processing agreements, SLAs, and security questionnaires
  • Draft, review, revise, negotiate, and manage correspondence and other legal-related documents
  • Consult and handle corporate legal processes such as compliance issues, transactions, agreements, employment law matters, risk management
  • Conduct research on data privacy, corporate, contract, intellectual property, and other laws relevant to Smartcat’s industry and business primarily under EU, US and CIS laws
  • Assist in managing entity maintenance and corporate governance for Smartcat group of companies, including interaction with registration and regulatory authorities, notaries, and banks worldwide, as well as drafting corporate documentation (minutes, resolutions, etc.)
  • Collaborate with other teams – Sales, Finance, Marketing, HR, and Engineering
  • Research and identify legal risks, and assist in developing strategies and policies, when appropriate, to manage them effectively
  • Conduct legal planning and partner with outsource consultants

Requirements

  • Higher education, a master's degree in the UK/US/EU would be an advantage
  • Minimum 3 years of work experience in IT legal consulting or as an in-house lawyer in the IT sector
  • Excellent drafting skills in both Russian and English, as well as advanced speaking proficiency (С1)
  • Ideal candidate would be with excellent knowledge and practical experience in the field of data privacy laws
  • Knowledge of Russian civil law, English contract law, intellectual property law, basic principles of corporate law, contract law, international law norms
