🚀 Your Role at a Glance: The key ways you'll bring value to the team

  • We have an exciting opportunity for a motivated and flexible lawyer to join Wayflyer's Legal team. As a FinTech company, this role will be critical and impactful, supporting internal teams, working with third parties, and providing day-to-day and strategic advice on transactions and a broad range of legal matters.

  • Support our CLO on corporate transactions and strategic initiatives, including equity raises, acquisitions, inter-company arrangements and other ad hoc transactions. This will include: supporting the management and execution of transactions; drafting, reviewing and coordinating transaction documentation, pre and post-completion deliverables and ancillary documents; and working closely with internal teams and external advisers to ensure the smooth and efficient completion of transactions.

  • Lead and manage our global company secretarial requirements across the group, including ensuring Irish and international statutory compliance, maintaining of statutory registers and records and liaising with external company secretarial providers.

  • Partner with our Finance and People teams to support our equity management processes, including maintaining cap tables, liaising with equity platform providers, managing employee queries and processing equity transactions.

  • Partner with our Finance team to support audit processes.

  • Provide ad hoc legal support to internal stakeholders on a range of matters relating to Wayflyer’s financial products, such as customer deals and vendor commercial contracts.

  • Partner with our Capital Markets and Finance teams on a broad range of financing and debt capital markets transactions.

  • Manage and coordinate external counsel in multiple jurisdictions (primarily the US and Europe as well as other jurisdictions relevant to our business) where required to ensure timely and expert support.

  • Drive continuous improvements in governance, documentation, company secretarial and other internal processes, including through the leveraging of AI tools and agent-driven workflows.

🔨 What Makes You a Great Fit

  • You are an Irish or UK qualified lawyer.

  • You have 1 - 3 years’ experience working as a transactional lawyer, either in practice or in-house, with experience in corporate M&A, capital markets and/or banking matters.

  • You ideally have some experience with company secretarial matters, whether through your day-to-day role or as part of a training seat, and are comfortable leading on company secretarial and statutory compliance requirements.

  • You have strong commercial acumen and attention to detail, can work autonomously without the need for significant guidance or input and can make risk-based decisions, seeking appropriate guidance and input at appropriate junctures.

  • You demonstrate strong curiosity about AI, automation and agent-driven workflows and how these tools can be applied to drive improvements and efficiencies across legal, compliance and company secretarial processes.

  • You are able to work collaboratively with internal stakeholders to drive efficiencies in transaction processes.

  • You can work at pace and deal effectively with ambiguity.

  • You have a proactive approach with excellent interpersonal skills and have the ability to use your initiative and work as part of a team.

  • You are flexible (and can work flexible hours to suit business requirements) and enjoy working in a fast-paced environment.

  • You have strong organisational skills with the ability to prioritise your own workload and manage competing deadlines.

  • You have an ownership mentality, always seeking to improve Wayflyer's success, even in functions outside of Legal.

  • You have high energy and enthusiasm for how the legal department can bring value to the business and help it resolve some of its hardest problems.

  • Experience with G-Suite, DocuSign, Notion and/or equity management platforms such as Ledgy would be an advantage but are not required.

Our headquarters operates a hybrid model. The number of in-office days depends on your team, but the majority of teams and our SLT are typically in 3-4 days per week, giving you valuable exposure to senior leadership.

Home to around 30 employees, our brand-new London office also runs on a hybrid model. You’ll often find our CEO working alongside the team with regular visits.
